Background to the intended sale of the business

The founding of the Strategy Institute dates back to the early 1980s when the need emerged for an organisation that was dedicated to advising management on strategy and related services. The Institute handles requests for consulting services in-house, or in collaboration with associates; strategy teaching is offered as and when requested by partner organisations; and strategy research is on-going as the Institute endeavours to remain up to date with the latest developments in the field and their application to local enterprises.

“Strategy” includes a host of ancillary services such as management consulting, organisational transformation and several OD-related engagements such as training, change management, marketing, HR, etc. The skills that do not exist in-house are acquired via suitably subcontracted specialists.

The Institute has a single equity owner who has retired and wishes the business operations to continue following its acquisition by passionate and competent people who would continue to reflect the Strategy Institute's legacy of high quality, professional work.

On offer is a working practice that delivers consulting services to clients. It could either serve as an “umbrella” for offering strategy and other services; or it could provide a credible way for a new entry into consulting. The acquirer can stake a claim to the high ground in the strategy consulting/advisory services using the name, reputation, website and knowledge. With its origins going back to the mid-1980s the Institute is possibly the longest established, strategy-focused consultancy in the country.

Highlights (indicative of what is possible)

A 30-year management consulting service – registered in 1993 with a proven consulting business model showing how to incorporate a network of professionals and strategic partnerships with selected tertiary institutions. It includes a comprehensive website (which offers resources, a moderated discussion forum and a Community of Strategy Practitioners online database).

Documentation (eg partnership agreement and subcontractor contract template) is available. There is also an extensive knowledge base of historical reports, templates etc, including work done with clients such as EU, SA National Treasury, World Health Organisation, SA Parliament, ASATA, JSE listed corporation, NECSA (Previously the Atomic Energy Board), Sanlam, and others (note that past clients cannot guarantee future opportunities).

What the deal offers and for whom

A “going concern” with a track record of client work; a unique name, reputation, knowledge and website; removes the need to start a consultancy from scratch;

It may open avenues of business growth for an accounting/auditing practice by offering new consulting services to existing clients;

It may interest an accounting/auditing practice looking to package their management advisory services under an established umbrella; or

A group or syndicate of MBA/MBL students, keen on consulting, who prefer to acquire a going concern rather than trying to start from scratch.
